Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SilkRoom LLC ("we", "we", "us", or "our") governing your access to and use of SilkRoom and any related websites, applications, and services (together, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

This document is a starting template, not legal advice. Because SilkRoom involves adult content, payments, and personal data, have a qualified attorney review and adapt it for your jurisdiction before launch.

1. Eligibility — you must be 18 or older

The Service contains sexually explicit, adults-only material. You may use it only if you are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and it is legal for you to access adult content where you live. By using the Service you represent and warrant that you meet these requirements. We may refuse, suspend, or terminate access to anyone we believe is under 18.

2. The Service and AI-generated content

SilkRoom provides fictional, AI-generated "companions" you can chat with and that can generate text, images, and voice messages. You understand and agree that:

• All characters are fictional. Any resemblance to a real person is unintended, and every character is depicted as an adult (18+).
• AI output is generated automatically, may be inaccurate, offensive, or inconsistent, and does not reflect the views of we. It is provided for entertainment only and is not professional advice (legal, medical, financial, psychological, or otherwise).
• We may add, change, or remove characters, features, and limits at any time.

3. Your account

You are responsible for the accuracy of your registration information, for keeping your credentials secure, and for all activity under your account. Notify us immediately at support@silkroom.io if you suspect unauthorized use. You may not share, sell, or transfer your account.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use & Safety Policy, which is incorporated into these Terms by reference. Violations — especially any content involving minors or non-consenting real people — may result in immediate termination and referral to law enforcement.

5. User content

"User Content" means anything you submit, including chat messages, prompts, custom characters, and feedback. You retain ownership of your User Content, but you grant we a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display it as needed to operate, secure, and improve the Service (including sending it to the AI providers that power features). You represent that you have the rights necessary to grant this license and that your User Content does not violate these Terms or the law.

6. Subscriptions, billing, and refunds

Paid plans and add-ons are billed through our payment processor on a recurring basis and auto-renew until cancelled. Pricing, plan features, usage allotments, cancellation, and refunds are described in our Billing, Subscriptions & Refunds policy, which is part of these Terms.

7. Intellectual property

The Service, including its software, design, branding, and the SilkRoom name and logo, is owned by we and protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights. You may not copy, modify, reverse engineer, scrape, or create derivative works from the Service except as permitted by law.

8. Third-party services

The Service relies on third-party providers (for authentication, payments, AI generation, storage, and hosting). Your use may be subject to their terms, and we are not responsible for their acts or omissions.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR APPROPRIATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, we AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

11. Indemnification

You agree to indemnify and hold we harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or the law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (e.g. ownership, disclaimers, limitation of liability, dispute resolution) will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. To the extent permitted by law, any dispute will be resolved by binding individual arbitration rather than in court, and you and we waive the right to a jury trial and to participate in a class action. You may opt out of arbitration by emailing support@silkroom.io within 30 days of first accepting these Terms. Where arbitration does not apply, the courts located in Alameda County, California, United States will have exclusive jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
